These Terms govern your access to and use of the websites, mobile applications, smart growing devices, software, cloud services, subscription services, Founder 100 programs, customer support and other related products and services provided by Luya Labs Inc. (“LUYA”, “we”, “us” or “our”).
By accessing or using LUYA products or services, you agree to these Terms and any applicable LUYA Privacy Policy, purchase terms, warranty policy and other policies incorporated by reference.
If you do not agree to these Terms, please do not use the applicable services.
You must have the legal capacity to enter into a binding agreement to create an account or purchase LUYA products.
If you use LUYA on behalf of a company, organization or other entity, you represent that you are authorized to accept these Terms on its behalf. LUYA products and services are primarily intended for adults.

LUYA may support sign-in through Apple, Google or other third-party providers. Those services are independently operated and may be governed by their own terms and privacy policies.
LUYA is not responsible for the independent availability, policies or operation of those third-party services.
You must install, operate and maintain LUYA devices in accordance with provided instructions. You may not use the device contrary to safety instructions, improperly disassemble safety-critical components, circumvent safety controls, use unauthorized power supplies or hazardous accessories, operate LUYA in clearly unsuitable environments, or modify the device in a way that creates electrical, fire, water or other safety risks.
If a device shows signs of overheating, leaking, electrical malfunction or another potential safety issue, stop using it and contact LUYA.
Plant growth depends on many factors, including seed quality, ambient temperature, humidity, water quality, power and network reliability, user behaviour, device condition and natural biological variation.
Accordingly, except where otherwise required by law, LUYA does not guarantee that every growing cycle will succeed, that growth rates will be identical across trays, or that any particular harvest weight, nutrient level or outcome will be achieved.
LUYA is intended to help users grow edible plants, but LUYA does not provide medical diagnosis, medical treatment or professional medical advice.
Nutrition, plant or health-related information provided through LUYA websites, apps, devices or content is for general informational and product-experience purposes. It should not be treated as a medical diagnosis, medical treatment, prescription advice, or a substitute for professional healthcare advice.
If you have a health condition, food allergy, dietary restriction or other medical concern, consult an appropriate qualified professional. Users remain responsible for determining whether plants are appropriate to consume and for following reasonable food-safety and hygiene practices.
LUYA may use artificial intelligence, machine learning, computer vision or related technologies to analyze plant and device information, providing growth-stage estimates, abnormal-condition alerts, harvest timing suggestions, growing-parameter recommendations, plant-condition analysis and personalized growing recommendations.
AI and algorithmic outputs may contain errors, be incomplete or be inaccurate. You understand that these outputs are assistive recommendations and are not absolute guarantees.
Certain LUYA products may include cameras used for plant observation, growth analysis and features such as time-lapse imagery. These cameras are primarily designed to capture plants inside the LUYA system.
You are responsible for positioning the device reasonably and avoiding unnecessary capture of people, private spaces or sensitive information. You may not use LUYA camera functionality for unlawful surveillance, invasion of privacy or unauthorized monitoring.
LUYA may periodically provide app updates, firmware updates, security patches, feature updates, algorithm updates and growing-strategy updates. Some updates may install automatically.
Certain updates may be required for security, compatibility or normal operation. Failure to install critical updates may affect product functionality.
Certain LUYA features depend on internet connectivity, Wi-Fi, cloud infrastructure, mobile operating systems and third-party services. Network outages, cloud-service interruptions, third-party failures or events outside LUYA's reasonable control may temporarily affect functionality.
LUYA will make reasonable efforts to maintain reliable services but does not guarantee uninterrupted or error-free operation.
Product pricing, taxes, shipping charges and payment terms will be presented during checkout. You agree to pay the applicable amounts shown for your order. Prices may change over time.
Founder pricing, promotional pricing and other special offers do not represent guaranteed future retail pricing.
LUYA may offer subscription services for products or features such as growing trays, seeds, nutrients, premium app functionality, smart-growing services and other recurring products or services.
If a subscription automatically renews, the checkout process will disclose the applicable pricing, billing frequency, renewal terms and cancellation methods. Unless otherwise required by law, cancellation generally takes effect at the end of the current paid billing period.
Returns, refunds and warranties are governed by separately published LUYA policies. If these Terms conflict with a specific return, refund or warranty policy regarding that subject, the more specific policy will control.
Nothing in these Terms limits non-waivable consumer rights provided by applicable law.
Founder 100 participants are also subject to the applicable Founder 100 Participation Terms.
Founder 100 is an early-market program, and participants understand that products may continue to undergo software optimization, firmware updates, experience improvements, growing-parameter changes and feature changes before broader commercial launch.
Specific Founder missions, benefits and content permissions are governed by the Founder 100 Participation Terms.
You may submit content to LUYA, including reviews, photos, videos, comments, suggestions, bug reports, growing records and other user-generated content. You retain rights you lawfully own in your content.
When you voluntarily submit content for LUYA's use, you grant LUYA the permissions reasonably necessary to use that content within the scope of your authorization and applicable law.
You may not submit content that infringes copyright or other rights, contains unauthorized private information, is unlawful, contains malware, is fraudulent, or violates another person's lawful rights.
If you provide LUYA with product suggestions, feature ideas, improvement recommendations, technical feedback or product concepts, you understand that LUYA may freely evaluate, develop or implement those ideas without owing compensation solely because they were submitted.
This provision does not transfer patents, copyrights or other intellectual property that you independently own under applicable law.
LUYA products and services may contain intellectual property protected by copyright, trademark, patent, trade-secret and other laws — including the LUYA name, logos, product designs, websites, apps, software, firmware, algorithms, data models, UI/UX, images, videos, written content, technical materials, and growing models and methods.
Unless expressly authorized by LUYA, you may not copy, modify, distribute, sell, lease, reverse engineer or commercially exploit LUYA intellectual property.
LUYA grants you a limited, non-exclusive, non-transferable, revocable license to use LUYA software and services solely for personal or otherwise authorized lawful purposes.
You may not copy or sell the software, sublicense it without authorization, circumvent access controls, hack the systems, conduct malicious reverse engineering, disable security protections, or use automated tools to attack LUYA services — except to the extent expressly permitted by non-waivable applicable law.
You may not use LUYA services to:
LUYA may integrate with third-party services including Apple, Google, AWS, payment providers, logistics providers, analytics providers, advertising platforms, social-media platforms and video-conferencing services.
Those services are independently operated by their respective providers. LUYA does not control all aspects of their functionality, policies or continued availability.
LUYA products will continue to evolve. We may modify product features, app interfaces, software, cloud services, algorithms, growing parameters, subscription offerings and product configurations.
Where appropriate, we will provide reasonable notice of material changes.
We may suspend or terminate an account or access to certain services if we reasonably believe that a user materially violates these Terms, engages in fraud, attacks or disrupts LUYA services, violates another person's rights, or creates a security risk to LUYA or other users.
Where appropriate and legally required, we may provide notice or an opportunity to appeal. You may also discontinue use of LUYA or request account deletion through the available processes.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LUYA SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.
LUYA does not guarantee that services will be completely error-free or always uninterrupted, that every software bug will be resolved immediately, that every growing cycle will succeed, that AI or algorithmic recommendations will always be accurate, or that every feature will be available in every location, device configuration or network environment.
Nothing in these Terms excludes warranties or rights that cannot legally be excluded under applicable consumer-protection law.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LUYA WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE OR CONSEQUENTIAL DAMAGES ARISING FROM USE OF OR INABILITY TO USE LUYA SERVICES, INCLUDING LOSS OF DATA, REVENUE, PROFIT, BUSINESS OPPORTUNITY, OR PLANTS AND GROWING MATERIALS.
Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited.
LUYA will not be unreasonably responsible for delays or interruptions caused by events outside its reasonable control, including natural disasters, extreme weather, war, government actions, major internet or cloud-service outages, supply-chain and shipping disruptions, power outages, and other events beyond reasonable control.
To the extent permitted by applicable law, if your unlawful conduct, intentional misuse of LUYA services, or material violation of these Terms results in a third-party claim against LUYA, you may be responsible for reasonably resulting liabilities and costs.
This provision does not unreasonably limit consumer rights provided by law.
Governing law: the laws of the State of New Jersey, USA. Venue: the state and federal courts located in Mercer County, New Jersey.
Founder 100 participants are additionally subject to the dispute-resolution and binding individual arbitration provisions in the Founder 100 Participation Terms, which include an informal-resolution period, a class and representative action waiver, a Small Claims Court exception, and a 30-day right to opt out of arbitration.
All dispute-resolution provisions remain subject to applicable law.
LUYA may update these Terms because of product changes, new features, legal developments, business-model changes or security requirements. For material updates, we may provide notice through our website, app, email or another reasonable method.
Continued use of LUYA after an update may constitute acceptance of the revised Terms, except where applicable law requires separate consent.
If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will continue in effect.
These Terms, together with incorporated policies such as the Privacy Policy, Warranty Policy, Return & Refund Policy, Founder 100 Participation Terms, Subscription Terms and other applicable policies, constitute the applicable agreement between you and LUYA regarding the relevant services.
